Other Events

On May 5, 2023, Jaguar Global Growth Corporation I, a Cayman Islands exempted company limited by shares (“JGGC”) announced the public filing of a registration statement on Form F-4 with the U.S. Securities and Exchange Commission (“SEC”). The registration statement is in connection with the business combination involving JGGC and GLAAM Co., Ltd., a corporation (chusik hoesa) organized under the laws of the Republic of Korea (“GLAAM”).

On March 2, 2023, JGGC and GLAAM, among others, entered into a definitive business combination agreement that would result in GLAAM becoming a publicly traded company. As a result of the business combination, GLAAM and JGGC shareholders will exchange their shares for shares in a new combined company (“New PubCo”). Upon closing of the transaction, New PubCo is expected to be renamed, and its ordinary shares are expected to be listed on the Nasdaq Stock Market under a new ticker symbol.
